지난 시간에 살펴보았던 Corporation 또는 S-Corporation과 약간 다른 형태의 법인으로는 LLC (Limited Liability Company)가 있다. 시대적 변화에 부응하여 발생한 형태라고 할 수 있는데 전문직 종사자들 또는 투자자들의 집단에 의한 설립이 선호된다. Corporation의 경우 주식의 매매를 통하여 소유권의 이전이 자유로운 반면 LLC의 경우에는 소유지분을 이전하는데에 내부적인 합의에 따른 지분이전의 제한을 할 수 있다. 운영되는 사업의 성격에 따라 이에 대한 제한이 필요한 경우가 있으므로 매우 요긴하게 사용되는 법인의 형태이다.

LLC의 단점은 외부의 투자를 유치하는데에 태생적인 한계가 있다는 것이다. 설립의 성격자체가 지분을 소유하게 되는 Partner (또는 Member) 들의 밀접한 이해관계에 기인한 것이므로 외부인의 영입을 달가워할리 없다. 가끔씩 지분이전에 따른 분쟁을 접하게 되는데 설립 전에 신중한 검토를 요하는 사항이다.

LLC는 GP (General Partnerships) 또는 LLC (Limited Liability Partnerships)의 변형된 형태이므로 일반적으로 세금보고시에 Form 1065 (U.S. Return of Partnership Income)를 사용한다. LLC의 지분을 소유하면서 임금을 받는 경우 Guaranteed Payment로 처리되어 Self-Employment Tax를 납부해야 한다. 그 외의 회사의 이익은 Schedule K-1을 통해 개인세금 보고서에 포함하여 세금을 납부한다.

법인의 여러 가지 형태 중에서 가장 빈번하게 사용되는 몇 가지만 간략하게 다루어봤다. 사업을 시작하기전 법인의 형태를 고민하고 있거나 아니면 사업을 운영중에 새로운 형태를 고려하고 있는 독자들께 조금이나마 도움이 되길 바란다.
